Terms of Service

These Terms of Service ("Terms") are a binding agreement between Eceeli LLC, a Wyoming limited liability company ("we," "us," "our"), and you ("you," "Customer," "User"). They govern your use of the Agonai competitive-intelligence platform at agonai.io and app.agonai.io (the "Service").
By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility and Account
You must be at least 18 years old and have legal capacity to enter into a binding contract. If you accept these Terms on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization.
You are responsible for all activity under your account, for keeping your sign-in email secure, and for the accuracy of the information you provide.
2. The Service
Agonai is a Software-as-a-Service platform that monitors publicly available information about competitors, brands, and related entities you configure, and produces AI-generated analyses and reports for your organization's internal competitive-intelligence purposes.
We may modify, add, or remove features. We will not materially degrade core features of an active subscription tier without at least 30 days' notice.
3. Subscription Plans and Billing — Merchant of Record
Polar (polar.sh) is the Merchant of Record for all paid subscriptions. This means that when you subscribe:
- Polar — not Eceeli LLC — is the seller of record for your purchase.
- Polar collects and remits applicable taxes (EU VAT, UK VAT, US state sales tax, GST in eligible jurisdictions, etc.) on our behalf.
- Polar issues invoices and processes refunds.
- Polar's Terms of Service and Privacy Policy apply to the checkout transaction in addition to these Terms.
Subscription fees, billing cycle (monthly or annual), feature limits, and tier eligibility are presented to you at the time of subscription via Polar Checkout. Fees are charged in advance and are non-refundable except as required by law or expressly provided in these Terms.
You may upgrade, downgrade, or cancel at any time from your account settings. Cancellations take effect at the end of the current billing period; you retain access until that date. We do not pro-rate refunds for partial periods, except as required by law.
4. Acceptable Use
You agree NOT to:
- Use the Service to violate applicable law or any third party's rights.
- Reverse-engineer, decompile, or attempt to derive the source code of the Service.
- Interfere with the Service's operation or attempt to gain unauthorized access.
- Use the Service to scrape, monitor, or process data behind a login wall, or in violation of any source's Terms of Service or
robots.txtdirectives for which you have configured monitoring (see Section 5). - Resell, sublicense, or redistribute the Service or its outputs except to authorized members of your own organization or as expressly permitted by your subscription tier.
- Configure monitoring of content or sources for which you do not have a legitimate competitive-intelligence purpose.
We reserve the right to suspend or terminate accounts engaged in activity that violates these Terms or that exposes us, our infrastructure providers, or other customers to legal or operational risk.
5. Source-Specific Terms — Customer Responsibility
The Service fetches publicly available content from many third-party sources (review sites, news aggregators, social platforms via RSS bridges, careers pages, GitHub, app stores, podcast indexes, Wikipedia, status sites, public regulatory filings, and others). Each of those sources has its own Terms of Service governing access and redistribution.
You are responsible for ensuring that your use of the Service — particularly the redistribution of insights, reports, or exported data derived from a given source — complies with that source's Terms of Service. We provide the monitoring infrastructure; you are the party redistributing insights to your team or your downstream stakeholders.
We respect robots.txt, send a transparent User-Agent string that identifies our crawler ("AgonaiBot/1.0"), and apply per-domain rate limits with exponential back-off. We do not access content behind login walls.
6. AI-Generated Content — No Warranty of Accuracy
The Service uses Large Language Models to produce summaries, classifications, severity scores, battlecards, trend analyses, recommended actions, brand-visibility reports, and similar outputs ("AI Outputs").
AI Outputs are generated by probabilistic models and may contain errors, omissions, hallucinations, or outdated information. You agree to exercise independent professional judgment before relying on AI Outputs in any customer-facing, financial, regulatory, or strategic decision. We do not warrant the accuracy, completeness, or fitness for any particular purpose of any AI Output.
7. No Financial, Legal, or Investment Advice
Some monitored sources include public regulatory filings (e.g. US SEC filings via EDGAR), uptime/incident data, and corporate news. The Service may surface signals derived from such data.
Information surfaced by the Service is for general informational and competitive-intelligence purposes only. It does not constitute financial advice, investment advice, legal advice, professional vendor-risk assessment, or a substitute for due diligence by a qualified professional. We are not a registered investment advisor, broker-dealer, or law firm.
8. Customer Data and Intellectual Property
Your data stays yours. You retain all rights, title, and interest in the data you upload, configure, or otherwise input into the Service ("Customer Data"), including the AI Outputs derived from it that we deliver to you.
You grant us a non-exclusive, worldwide, royalty-free license to host, process, transmit, and display Customer Data solely as needed to provide the Service to you and to comply with legal obligations.
Our IP stays ours. The Service software, design, branding, and documentation are owned by Eceeli LLC and protected by US and international intellectual-property law. Your subscription grants you a limited, revocable, non-transferable right to use the Service per these Terms — not ownership.
We may use aggregated, anonymized data (data that cannot reasonably be tied back to you or your organization) to improve and benchmark the Service.
9. Confidentiality
Each party agrees to protect the other's Confidential Information with the same degree of care it uses for its own confidential information, but no less than reasonable care, and to use it only for the purposes of these Terms.
10. Term and Termination
These Terms remain in effect while you use the Service. Either party may terminate at any time:
- You by canceling your subscription in account settings.
- Us for breach of these Terms, non-payment, abuse of the Service, or operational/legal necessity, with notice where reasonably practicable.
Upon termination, your access ceases at the end of the current billing period (for normal cancellation) or immediately (for breach). After termination, Customer Data is retained per the retention schedule in our Privacy Policy and then deleted.
Sections that by their nature should survive (Sections 6, 7, 8, 11, 12, 13, 14, 15) survive termination.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF AI OUTPUTS. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- IN NO EVENT WILL EITHER PARTY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
- OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.
These limitations apply regardless of the legal theory (contract, tort, statute) and even if a remedy fails of its essential purpose.
13. Indemnification
You agree to defend, indemnify, and hold harmless Eceeli LLC and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your use of the Service in violation of these Terms; (b) your violation of a third party's rights, including a source's Terms of Service in the redistribution of derived insights; or (c) your Customer Data.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-laws principles. The exclusive venue for any dispute arising out of or relating to these Terms is the state or federal courts located in Wyoming, and each party consents to personal jurisdiction in those courts.
Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual-property rights.
15. Changes to These Terms
We may update these Terms. The "Last updated" date at the top reflects the most recent change. For material changes, we will notify active customers by in-app notice and email at least 14 days before the change takes effect. Your continued use of the Service after the effective date of a change constitutes acceptance of the updated Terms. If you do not agree to a material change, you may cancel your subscription before the change takes effect.
16. Miscellaneous
- Entire agreement: these Terms (together with our Privacy Policy and any tier-specific terms referenced at signup) constitute the entire agreement between you and us regarding the Service and supersede prior agreements.
- Severability: if any provision is found unenforceable, the rest remains in force.
- No waiver: failure to enforce a provision is not a waiver of the right to enforce it later.
- Assignment: you may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of substantially all of our assets.
- Force majeure: neither party is liable for delays or failures caused by events beyond its reasonable control.
